Terms of Service

Plain-language summary: GUAC is a software tool. It is not a broker, exchange, fund, or financial adviser. Trades happen on your own exchange account with keys you control. Crypto is high-risk — you can lose money, and you alone are responsible for your trading decisions.

1. Who we are

GUAC ("the Service") is operated by its founder as a sole trader ("we", "us"). Upon incorporation of a successor company (planned in Georgia), these Terms will be assigned to that entity and you will be notified.

2. What GUAC is — and is not

GUAC provides software: automated trading-bot tooling, algorithmic analysis ("agent") output, portfolio aggregation, and market data displays. GUAC:

You must be at least 18, legally able to contract, and not located in a jurisdiction where use of the Service or cryptocurrency trading is prohibited, nor subject to sanctions lists. You are responsible for the legality of your use in your jurisdiction.

4. Your exchange accounts and API keys

You connect GUAC to exchanges via API keys you create. You are responsible for key scope (we recommend read-only where possible and never withdrawal-enabled), for the security of your exchange account, and for all activity executed under your keys. You may revoke access at any time on your exchange.

5. Trading risk

Cryptocurrency markets are highly volatile. Automated strategies can malfunction, behave unexpectedly in unusual market conditions, or lose money rapidly. Simulated ("paper") performance does not guarantee live results. Never trade funds you cannot afford to lose. Enabling live trading requires your explicit, recorded acknowledgement of these risks.

6. Subscriptions and payment

Paid plans are billed in advance on a recurring basis through our payment providers. Fees are for software access and are non-refundable except where required by law. We may change pricing with at least 14 days' notice; changes apply from your next billing period.

7. Acceptable use

You must not: use the Service for market manipulation or any unlawful activity; attempt to breach, overload, or reverse-engineer the Service; resell access without consent; or use it from restricted jurisdictions.

8. Availability

The Service is provided "as is" and "as available". We do not guarantee uninterrupted operation, order execution, data accuracy, or exchange connectivity. Exchanges, networks, and third-party services fail in ways outside our control.

9. Limitation of liability

To the maximum extent permitted by law: we are not liable for trading losses, lost profits, lost data, or indirect, incidental, special, or consequential damages arising from your use of the Service. Our total aggregate liability for any claims is limited to the subscription fees you paid in the 12 months preceding the claim.

10. Indemnity

You will indemnify us against claims arising from your use of the Service, your trading activity, or your breach of these Terms.

11. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate accounts that breach these Terms or create legal exposure, with notice where practicable.

12. Changes

We may update these Terms; material changes will be notified in-product or by email at least 14 days before taking effect. Continued use constitutes acceptance.
